Sing Up Partner Membership

1. Acceptance of Terms

1.1. These Additional Terms for Partner Membership (the “Additional Terms”) are a legal and binding agreement, between the partner organisation (Music Education Hub, Music Service, Multi-Academy Trust, etc.) (“Partner”, “Partner Member”) and Sing Up Ltd (“Sing Up”, “we”, “us”, “our”), governing the use of the Sing Up Partner Membership in addition to the general Sing Up Terms and Conditions, which includes but is not limited to products, software, and services offered by way of the website, and other services.

1.2. Please review the Additional Terms for Partner Membership fully before you use Partner Membership services, the website, shop, or any other Sing Up services. By using Partner Membership services, the site, shop, and any other Sing Up services, you agree to be bound by the Additional Terms. If you do not agree, please discontinue the use of the Partner Membership services, the website, shop, or any other Sing Up services.

1.3. You shall also be subject to the general Sing Up Terms and Conditions, these Additional Terms are forming a part of.
 

2. Changes and Updates

2.1. The published date (“Last Updated Date”) states when the additional terms were last modified. The most current version of the additional terms will always be posted on the Site and will be effective as of the Last Updated Date. The continued access or use of the Partner Membership services, the site, shop, and any other Sing Up services after the Last Updated Date indicates acceptance of the additional terms as modified.

2.2. Sing Up may change the additional terms at any time for a variety of reasons, including but not limited to reflecting changes to the business, applicable law, Services, Site functionality. It is the Partner’s responsibility to review the additional terms regularly.

2.3. At Sing Up’s discretion, if an amendment to the additional terms includes a substantial change, Sing Up will notify the parties affected.
 

3. Partner Membership Purpose

3.1. Sing Up and the Partner Member agree to work together to engage the schools within the Partner’s geographical area of responsibility (“Partner area”) in the Partner’s singing strategy and school music education plan (“SMEP”).
 

4. Sing Up Partner Membership Fee

4.1. The Partner Membership fee will be confirmed by Sing Up as soon as the Partner Membership details are agreed by Sing Up and the Partner.

4.2. The Partner Membership fee may include, but is not limited to

i. the most current Partner Membership rate,
ii. the amount of Sing Up users (“Partner Membership Login”) required (subject to Sing Up Terms and Conditions 6.4.),
iii. any discount applicable (subject to 4.3 and 4.4.).

4.3. Sing Up may apply a discount to the Partner Membership fee, as follows

i. Where take-up of Sing Up Membership by schools in the Partner area is 20% or higher, a discount on the Partner Membership fee may be applied matching the take-up percentage.
ii. Where a bulk purchase arrangement has been agreed, and where the annual investment is at least £4,950 or where the Partner provides Sing Up Membership for 100% of the schools in the Partner area, a 100% discount may be applied on the Partner Membership fee as well as Partner Membership Logins.

4.4. The eligibility of any discount provided is reviewed on renewal of the Sing Up Partner Membership and adjusted accordingly.
 

5. Big Sing Events

5.1. Sing Up supports the Partner to engage its local schools in Big Sing events run by the Partner through providing, on request, resources and support for one Big Sing event, inclusive per Partner Membership year and up to a total value of £500.

5.2. The value of the inclusive Big Sing event is calculated at £3 per song per non-Member school plus £120 administration fee. Schools with active Membership do not count towards the value of the inclusive Big Sing event.

5.3. The Partner will cover any amount over and above the total value of £500 of the inclusive Big Sing Event.

5.4. Entitlement to the support for one Big Sing event inclusive per Partner Membership year expires with the Membership year and cannot be carried over from one Membership year to the next.

5.5. Additional Big Sing events can be supported, subject to Sing Up’s availability, and are chargeable at £3 per song per non-Member school plus £120 administration fee per additional Big Sing event. Schools with active Membership do not count towards the value of the additional Big Sing event.

5.6. The Partner agrees to contact Sing Up no later than 14 weeks before the Big Sing event date to agree the event date, the list of songs, as well as the schools involved in the Big Sing. Contacting Sing Up and agreeing on Big Sing event details less than 14 weeks before the event date may not ensure appropriate preparation time, although Sing Up will endeavour to provide support for the Big Sing event as soon as possible depending on availability.

5.7. The Partner agrees to provide Sing Up with a list of schools taking part including the minimum details listed below in order for Sing Up to be able to setup appropriate access to Big Sing resources:

i. Name and postcode of each of the participating schools
ii. Full name of one relevant teacher/member of staff at each of the participating schools
iii. Email address of the relevant teacher/member of staff at each of the participating schools

5.8. Sing Up may request additional details in order to successfully setup access to Big Sing resources.

5.9. When sharing individual’s details with Sing Up for the purpose of a Big Sing event, the Partner confirms to Sing Up that:

i. Each teacher or member of staff at each of the participating school has consented to their details being passed to Sing Up for the purposes of the setup of a Sing Up user account to allow access to the Big Sing resources as well as continuous access to the Sing Up platform after the event and until the user account is deleted, either on request of the individual or automatically after 2 years of inactivity.
ii. Each teacher or member or staff at each of the participating school has been provided with access to and has consented to the Sing Up Terms and Conditions.
iii. Each teacher or member or staff at each of the participating school has been provided with access to the Sing Up Privacy Notice.
iv. Each teacher or member of staff at each of the participating school has been provided with the choice to subscribe to Sing Up emails not related to the Big Sing event in order to receive the very latest from Sing Up with new songs, advice and tips for putting singing at the heart of everything they do.

5.10. Access to resources is provided to schools by Sing Up as follows:

i. Individuals at all participating schools will receive online access to the agreed list of songs via a Sing Up user account.
ii. The period of time resources will be made available online is a maximum of 12 weeks.
 

6. School Staff Training

6.1. Sing Up supports the Partner to engage its local schools in its singing strategy and SMEP by providing, on request, a Sing Up trainer to take part in staff training events organised by the Partner.

6.2. Per Partner Membership year, the Partner can choose from one of the following options, which are included in the Membership fee:

i. One Sing Up trainer to deliver up to two Partner training events remotely, each lasting up to 75 minutes.
ii. One Sing Up trainer to deliver one Partner training event in person, lasting up to 75 minutes.

6.3. Entitlement to Sing Up’s participation in training included in the Partner Membership fee expires with the Membership year and cannot be carried over from one Membership year to the next.

6.4. Participation in additional training sessions, over and above the entitlement to training included in the Membership fee, are subject to Sing Up’s availability and are chargeable. Fees are to be determined based on requirements.

6.5. The Partner agrees to contact Sing Up no later than 14 weeks before the training event date to agree the training option chosen, topic choice, focus, date, time, and location of the event. Contacting Sing Up and agreeing training event details less than 14 weeks before the event date may not ensure appropriate preparation time, although Sing Up will endeavour to provide support for training as best as possible depending on availability

6.6. For each training event, Sing Up agrees to provide to all participants access to the training resources used during training event.

6.7. For each training event, the Partner is required to

i. Take responsibility for the event organisation, including organising a suitable venue and providing any required technical resources, which may include, but are not limited to, a secure and reliable internet connection, a projector, a PA system, a flip-chart.
ii. Cover the cost of travel, accommodation, and subsistence for the Sing Up trainer for in-person training, which is not inclusive in the Membership fee.
iii. Choose one topic from a list of topics provided by Sing Up.
iv. Promote the training session to attendees to ensure a minimum of 10 participants.

6.8. Sing Up reserve the right to cancel or request to rearrange the Sing Up trainer’s participation in a training event, without refund due, if an attendee number of less than 10 is confirmed, unless otherwise agreed.

6.9. The Partner has the right to cancel or request to rearrange a Sing Up trainer’s participation at an agreed training event. In the event of cancellation or event rearrangement, the Partner:

i. Will not lose entitlement to training included in the Membership fee, where arrangements for travel, accommodation, or planning of the training event have not yet commenced.
ii. Will lose entitlement to training inclusive in the Membership fee, and needs to reimburse Sing Up for any expenses incurred, where arrangements for travel, accommodation, or planning of the training event have commenced.
 

7. Marketing and Communications

7.1. Sing Up supports the Partner to encourage local schools to engage in the Partner’s singing strategy and SMEP, and the use of Sing Up’s resources to do so, through providing assistance and expertise in the creation of bespoke communication materials aimed at schools, on request. This may include:

i. Template emails and/or letters
ii. Flyers and leaflets (digital and/or print)
iii. Social media posts
iv. News stories on the Sing Up website

7.2. The Partner supports Sing Up by promoting Sing Up Membership to its schools through:

i. Including the Sing Up logo and description of Sing Up on the Partner’s website.
ii. Including the Sing Up logo and description of Sing Up in printed or digital materials produced by the Partner in connection with its singing strategy.
iii. Regularly including in communications to schools information about the Partner’s partnership with Sing Up.
iv. Regularly including in communications to schools information about Sing Up School Membership and applicable Sing Up School Membership promotions.
v. Inviting Sing Up to take part in relevant CPD and other relevant school events which may be organised by the Partner and/or have a singing element to them.
 

8. Data to further the advancement of music education provision

8.1. Subject to the applicable data regulation, Sing Up may share anonymised current and historical data with the Partner, on request, which concentrates on the engagement of schools with Sing Up within the Partner area. Data may include information such as:

i. Number, names, and expiry dates of current (“active”) Sing Up Member schools in the Partner area.
ii. Number and names of previous (“expired”) Sing Up Member schools in the Partner area.
iii. Percentage of take-up of Sing Up Membership in the Partner area as compared with the national average.

8.2. Per Membership year, up to two data requests can be made to Sing Up.

8.3. Entitlement to up to two data requests included in the Membership fee expires with the Membership year and cannot be carried over from one Membership year to the next.

8.4. Requests for data may be made by contacting Sing Up no later than 4 weeks before the data is required and must state the topic of interest subject to 8.1. Contacting Sing Up less than 4 weeks before the data is required may not ensure appropriate preparation time, although Sing Up will endeavour to provide data insights as soon as possible depending on availability.

8.5. Subject to the applicable data regulation, and to receive the maximum benefit of Partner Membership, the Partner agrees to share with Sing Up, on request:

i. Details of the Partner’s singing strategy and SMEP
ii. Information on the engagement of local schools in the Partner’s singing strategy and SMEP
 

9. Governing Law and Jurisdiction

9.1. All of the Terms are governed by English Law and any disputes arising out of any transaction with Sing Up are subject to the exclusive jurisdiction of the English Courts.

9.2. If any of these terms are determined to be illegal, invalid or otherwise unenforceable, then to the extent in which that term is illegal, invalid, or otherwise unenforceable it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.
